General Terms of Services and Collaboration

The framework governing sourcing, procurement, supplier payments, inspections, logistics and claims coordinated by MedinChina.

MedinChina is operated by Hangzhou Opun Technology Co., Ltd. (杭州奥普恩科技有限公司), Hangzhou, Zhejiang, People’s Republic of China.

Last updated: September 30, 2026

These terms are a commercial contract framework. Before publication or use for a specific market, have the liability, governing-law, dispute-resolution and client-funds provisions reviewed by qualified counsel in China and the relevant jurisdictions.

01

Purpose

These General Terms define the conditions under which Hangzhou Opun Technology Co., Ltd., operating under the MedinChina brand, provides services to professional clients, entrepreneurs, organisations and, when accepted, individuals.

MedinChina supports commercial operations with China through sourcing, supplier research, procurement, negotiation, purchasing coordination, production follow-up, document checks, inspection or inspection coordination, logistics support and other expressly agreed services.

02

Identification of MedinChina

Trade name: MedinChina. Legal entity: Hangzhou Opun Technology Co., Ltd. (杭州奥普恩科技有限公司). Country of registration and principal activity: People’s Republic of China, Hangzhou, Zhejiang.

Unified Social Credit Code: 91330109MAKGC6M34. Legal representative: Medy Evrard Missang Mi Abaa. Email: contact@agencemedinchina.com. Unless a specific contract says otherwise, Hangzhou Opun Technology Co., Ltd. provides the services marketed under the MedinChina brand.

03

MedinChina’s role

MedinChina acts primarily as a sourcing, procurement, commercial-coordination and China-operations support provider. Depending on the assignment, MedinChina may:

  • Analyse the client’s needs
  • Research manufacturers or suppliers
  • Compare offers and negotiate terms
  • Coordinate samples, orders, production and inspections
  • Assist with documents and logistics providers
  • Make or coordinate supplier payments when expressly agreed
  • Support claims relating to an order
04

MedinChina is not automatically the manufacturer

Unless expressly stated in a contract, MedinChina is not the manufacturer of goods purchased from a third-party supplier. The manufacturer or supplier remains responsible, within the limits of its contract and applicable law, for manufacturing and product conformity.

This includes materials, quantities, dimensions, technical characteristics, announced certifications, defects, supplier warranties and conformity with approved specifications. MedinChina’s involvement does not make it the manufacturer or guarantor of the supplier’s obligations.

05

Sourcing request

The client must provide sufficiently precise information about the project, including as relevant the product, photographs, drawings, dimensions, materials, quantity, reference, certifications, customisation, budget, destination, timetable and special conditions.

The client is responsible for the accuracy of the information and specifications provided. A change after approval may change the price, timing or production conditions.

06

Supplier research and selection

MedinChina selects suppliers against criteria relevant to the project, which may include company existence, business licence, product range, direct communications, prices, stated capacity, export experience, certifications, MOQ, lead times, payment terms and a physical visit when ordered or necessary.

Supplier checks aim to reduce commercial risk. They are not an absolute guarantee of future behaviour, solvency, absence of defects or complete performance of every supplier obligation.

07

Supplier and order approval

Before a final order, MedinChina may provide available information about the supplier, product, specifications, prices and commercial terms. The client must check that information before approval.

Express approval of the supplier, product, specifications, price, quantity, sample, quotation, pro forma invoice or contract, or an express request to pay or place the order, may evidence authorisation to proceed, subject to the applicable contract.

08

Supplier contracts

MedinChina seeks written supplier conditions covering specifications, quantities, price, timing, payment, quality, production duties, inspections, defects, claims and, where negotiated, replacement, compensation or refund.

The client must read project documents before payment or authorising MedinChina to pay. Questions, corrections and objections must be raised before approval.

09

Prices and quotations

Prices may be stated in RMB/CNY, USD, EUR or another agreed currency. A quotation may contain separate amounts for the supplier’s goods, MedinChina fees or commission, additional services and third-party costs such as transport, insurance, banking, laboratory, inspection or formalities.

The client must check what is included and excluded before accepting an offer.

10

MedinChina fees and commissions

MedinChina is paid through fees, commissions and service charges for work actually performed, including research, analysis, negotiation, coordination, follow-up, verification, travel or other agreed services.

Once a service has been performed, its fee is not automatically refundable merely because a later problem occurs with the product or supplier.

11

Funds intended for suppliers

For some projects, the client may authorise MedinChina to receive funds to coordinate a supplier payment. Supplier funds are distinct from MedinChina’s own remuneration, subject to expressly agreed fees and commissions.

MedinChina uses funds according to the transaction instructions and contracts. No significant supplier payment should be made before the client has received and approved the essential order information.

12

Payment terms

Payment terms depend on the supplier and project. A common structure may be 30% to start production and 70% before shipment or at an agreed milestone, but a manufacturer may require other terms such as full payment before production, payment before shipment or a letter of credit.

The specific terms in the applicable contract or pro forma invoice prevail.

13

Exchange rates and bank charges

International transactions may generate bank, transfer, intermediary, currency-conversion and exchange-rate costs. Unless agreed otherwise, these costs are not automatically borne by MedinChina. A conversion or payment may be affected by the rate available when the transaction is made.

14

Production and lead times

Production timelines are generally based on supplier information and may be affected by raw materials, client changes, holidays, factory closures, technical issues, logistics, force majeure, late payment, quality control or regulatory changes.

MedinChina performs the agreed follow-up but cannot guarantee a third-party timeline unless a specific contractual commitment says otherwise.

15

Samples

When possible, MedinChina may recommend approving a sample before important or customised production. The client must check the sample and request changes before authorising production. An approved sample may serve as a reference when the project documents provide for it.

16

Inspection and quality control

The parties may choose a basic check, pre-shipment inspection, during-production inspection, factory visit, MedinChina check, independent inspection or technical or laboratory test.

An inspection is limited to its agreed scope and is not an absolute guarantee against hidden, undetectable or post-use defects. MedinChina may recommend a competent independent body for specialised tests or certifications.

17

Regulatory compliance and importation

The client must inform MedinChina of requirements in the destination country. Rules vary by country, product, use, composition, customs classification and certification.

Unless a specific assignment is expressly accepted, the client/importer remains responsible for checking that the product can legally be imported, marketed or used. MedinChina may assist but is not the destination country’s regulatory authority.

18

Transport and logistics

When MedinChina coordinates transport, physical transport may be performed by a freight forwarder, carrier, shipping or airline company, express service or another independent provider. The Incoterm, transport contract, carrier terms, insurance and applicable law may govern. MedinChina is not automatically the physical carrier.

19

Customs, taxes and import duties

Unless expressly stated in writing, customs duties, taxes, port charges, clearance costs and other destination-country charges are not included in MedinChina fees. The client is responsible for import and tax obligations unless a specific service expressly allocates them differently.

20

Transport insurance

For some orders, MedinChina may recommend transport insurance. If the client does not purchase insurance despite that recommendation, it accepts corresponding uncovered risks within the limits allowed by law. Insurance compensation remains subject to the policy terms.

21

Product claims

A claim must be reported as soon as reasonably possible after discovery. The client must provide sufficient evidence such as photographs, videos, affected quantities, references, packaging, inspection reports, delivery records and a precise description of the defect.

MedinChina may open or coordinate a supplier claim when it falls within the assignment.

22

Refunds for goods

When a supplier accepts a refund, MedinChina supports the process under the applicable documents. Funds actually received from the supplier that belong to the client are returned, subject to applicable bank, currency or other legitimate costs.

MedinChina does not treat a client’s supplier refund as its own revenue and cannot guarantee supplier acceptance.

23

Cancellation

The ability to cancel depends on project progress. Cancellation may be easier before supplier payment, raw-material purchase, customisation or production launch. Once production has started, some payments may become non-refundable. Supplier terms and the specific contract determine the financial consequences.

24

External providers

MedinChina may use independent providers for transport, inspection, laboratory work, certification, insurance, legal or financial services, storage, customs and other specialised work. Their services remain subject to their own obligations and terms.

25

Limitation of liability

To the extent permitted by applicable law, MedinChina is not responsible for losses resulting exclusively from acts or failures of independent third parties that it could not reasonably control.

Nothing in these terms excludes liability that law prohibits excluding or releases MedinChina from its own contractually accepted obligations. If MedinChina is liable, the scope is determined by the applicable contract and law.

26

Force majeure

No party is in breach when performance is prevented or substantially delayed by an event reasonably outside its control, subject to applicable rules. This may include natural disaster, war, epidemic, major strike, administrative closure, transport interruption, government restrictions or exceptional supply-chain events. The parties will seek a commercially reasonable solution.

27

Confidentiality

Sensitive commercial information exchanged during a project must be treated confidentially when its nature or a specific agreement requires it. This may include supplier prices and contacts, technical documents, purchasing strategies, client or supplier information, contracts and financial data. Specific confidentiality agreements may be signed when necessary.

28

Intellectual property

The brands, content, documents, graphics, software, databases and other assets belonging to MedinChina or Hangzhou Opun Technology Co., Ltd. remain their respective property unless agreed otherwise in writing.

The client is responsible for having rights needed for a third-party brand, logo, patent, design, character, photograph or other protected element. MedinChina may refuse a project presenting a reasonable infringement or counterfeiting risk.

29

Prohibited or regulated products

MedinChina may refuse a request involving a prohibited, illegal or counterfeit product, or a product requiring an authorisation that the relevant parties do not hold. Some categories may require additional checks or conditions.

30

Electronic communication

Operational communications may take place by email, the client area, professional messaging, WhatsApp or another agreed channel. Important approvals may be documented and retained. MedinChina may request additional written confirmation for important decisions.

31

Client obligations

The client agrees to:

  • Provide accurate information
  • Communicate specifications
  • Check documents received
  • Respond within reasonable time
  • Make agreed payments
  • Report known regulatory requirements
  • Not request illegal or counterfeit products
  • Review contracts before approval
32

Refusal or suspension of a project

MedinChina may refuse or suspend a mission when the request appears illegal, required information is missing, agreed payments are not made, the project presents abnormal legal or commercial risk, a party provides manifestly misleading information, or continuing could expose MedinChina to a regulatory breach.

Financial consequences are determined by work performed, commitments made and amounts recoverable from third parties.

33

Project-specific documents

An operation may include a quotation, invoice, pro forma invoice, Purchase Order, Sales Contract, Purchase Contract, payment mandate, technical specifications, inspection report or logistics terms. These documents form part of the contractual framework when accepted.

Specifically negotiated and expressly accepted project terms may prevail over these General Terms, subject to applicable law.

34

Changes to these General Terms

MedinChina may update these terms to reflect changes to its services, procedures or regulatory requirements. The version applicable to an operation is the version agreed when the contractual relationship is formed.

Changes do not apply retroactively where that would affect rights already acquired under a contract, unless agreed or legally required.

35

Governing law and disputes

The parties will first seek to resolve a dispute through good-faith commercial negotiation. Where a dispute concerns a third-party supplier’s manufacture or goods, MedinChina may support the supplier procedure when that falls within its assignment.

The governing law, competent court or arbitration mechanism for the MedinChina-client relationship must be stated in the applicable contract. This section should be completed after legal review for Hangzhou Opun Technology Co., Ltd.

36

Acceptance of the terms

Before ordering a service or authorising a transaction, the client should read these General Terms, the quotation, contract, specifications, pro forma invoice and any project-specific policy.

By expressly accepting a proposal, signing a contract, approving an order or using a MedinChina service when these terms were made available and valid acceptance was collected, the client acknowledges the applicable conditions.
