MedinChina — Terms of Service & Collaboration Rules
China. Connected to the World.
Version:
Operated by Hangzhou Opun Technology Co., Ltd.
01.Purpose
These rules set out the principles and terms that apply to clients using MedinChina, operated by Hangzhou Opun Technology Co., Ltd., for sourcing, purchasing, manufacturing, inspection, negotiation, business support and logistics coordination projects in China.
Each specific assignment is subject to a quotation, commercial proposal, purchase order or written agreement defining the project scope.
If these rules differ from a specific proposal signed with the client, the special terms agreed in writing for that project take precedence.
02.MedinChina’s role
MedinChina primarily acts as a sourcing, procurement and business coordination partner in China.
Depending on the service selected, MedinChina may:
- find suppliers and manufacturers;
- request and compare offers;
- communicate with suppliers;
- negotiate prices and commercial terms;
- organise factory visits;
- coordinate samples;
- monitor order preparation or production;
- arrange or coordinate inspections;
- assist the client with purchasing;
- coordinate certain logistics operations;
- facilitate communication between the client and Chinese partners.
Unless otherwise stated in a written agreement, MedinChina is not the manufacturer of the goods.
Products are manufactured or supplied by third-party companies.
03.Information required before sourcing
To enable an effective search, the client should provide as much of the following information as possible:
- the product name or description;
- technical specifications;
- available photos or references;
- the required quantity;
- the budget or target price, where available;
- the destination country and city;
- quality requirements;
- required certifications;
- customisation requirements;
- the desired timeline.
An imprecise request may lead to differences in price, quality, configuration or lead time.
MedinChina may request additional information before starting or continuing a search.
04.Quotations and proposals
Prices presented to the client are based on the information available at the time of the enquiry.
A quotation may depend on:
- the supplier;
- raw materials;
- quantity;
- specifications;
- exchange rates;
- packaging;
- transport costs;
- the production period;
- market conditions.
Unless otherwise stated, a price is considered final only after written confirmation from the supplier and approval of the project.
The validity period of each offer is stated in the quotation or commercial proposal.
An expired offer must be reconfirmed before payment.
05.Client approval
Before placing any order, the client must check and approve the essential elements of the project, including:
- Product
- Model
- Specifications
- Dimensions
- Quantity
- Colour
- Customisation
- Price
- Payment terms
- Production lead time
- Shipping method
- Destination
Payment or written confirmation by the client may constitute acceptance of the specifications and terms stated in the corresponding proposal.
Any change requested after approval may result in additional costs and lead times.
06.Payments and separation of funds
Payment terms are communicated before each order is launched.
Depending on the supplier or project, a deposit may be required before production begins and the balance may be due before shipment.
The exact percentages and due dates are defined for each project.
One supplier’s terms must never be assumed to be identical to another’s.
The client must make payments only to bank accounts or through payment methods officially communicated and confirmed for the project.
MedinChina may suspend an assignment, order or operation if payment is not received within the agreed time.
07.MedinChina service fees
MedinChina services may be charged using different structures:
- a fixed fee;
- a commission;
- a subscription;
- a fee per assignment;
- custom pricing;
- a combination of methods.
The applicable pricing structure is communicated to the client before the assignment begins.
Sourcing and support fees compensate MedinChina for its work and are separate from the price of the goods, unless otherwise stated.
Separation of funds and fees: the total amount paid in connection with a project does not necessarily constitute MedinChina revenue. The value of goods, MedinChina service fees or commissions, logistics costs and third-party expenses are separate components of the transaction.
08.Free research and multiple requests
MedinChina may, at its discretion, conduct an initial analysis or commercial search free of charge to assess project feasibility.
This does not create an obligation to provide unlimited searches, quotations, visits or negotiations free of charge.
When a project requires extensive research, enquiries with several factories, travel or specialist expertise, MedinChina may propose a paid service before proceeding.
09.Suppliers and manufacturers
MedinChina selects or proposes suppliers based on the information available and the requirements communicated by the client.
Recommending a supplier does not mean that MedinChina provides an absolute guarantee of:
- its future performance;
- its future financial position;
- the complete absence of defects;
- compliance with every foreign regulation;
- its ability to fulfil obligations that have not been agreed in writing.
Where the financial or technical stakes justify it, MedinChina may recommend additional verification, a factory visit, an audit or an inspection.
10.Samples
Where possible, the client is encouraged to order or approve a sample before large-scale or customised production.
An approved sample may serve as the production reference, subject to technical tolerances agreed with the manufacturer.
Sampling, shipping and customisation costs are payable by the client unless otherwise agreed.
11.Production
A supplier’s stated production lead time is generally an estimate.
It may change depending on factors including:
- raw materials;
- factory capacity;
- requested changes;
- public holidays;
- quality checks;
- events beyond MedinChina’s control.
MedinChina undertakes to communicate significant information available to it concerning the progress of the client’s project.
12.Quality control
When quality control is included or ordered separately, it is carried out according to the criteria defined for the assignment.
A check or inspection is a verification performed at a particular time and within a defined sampling plan or scope.
An inspection does not provide an absolute guarantee that every unit will be free of defects.
The client must communicate quality criteria and key inspection points before production or inspection.
Specialist inspections, laboratory testing and certifications may incur additional charges.
13.Compliance and certifications
The client is responsible for determining the legal requirements for importing and marketing its products in the destination country.
These may include:
- type approvals;
- technical standards;
- certifications;
- import licences;
- labelling;
- product safety;
- intellectual property;
- health regulations;
- environmental regulations.
MedinChina may assist the client in obtaining documents or identifying solutions, but must not be regarded as the regulatory authority of the destination country.
14.Prohibited or sensitive products
MedinChina reserves the right to refuse any project involving products whose manufacture, purchase, export, import or sale may be unlawful or present a disproportionate legal risk.
MedinChina may also request additional licences or supporting documents for certain regulated products.
15.Logistics
When MedinChina arranges or coordinates transport, the stated lead times are estimates unless a specific written commitment has been made.
Lead times may be affected by:
- shipping lines or airlines;
- port congestion;
- customs inspections;
- weather;
- route changes;
- public authorities;
- international events;
- other circumstances beyond MedinChina’s control.
MedinChina informs the client of significant changes of which it becomes aware.
16.Customs and taxes
Unless otherwise agreed in writing, the client remains responsible for:
- customs duties;
- import taxes;
- local authorisations;
- licences;
- customs clearance fees;
- regulatory obligations in the destination country.
Before placing a substantial order, the client is encouraged to check the import conditions applicable in its country.
17.Cargo insurance
For high-value goods, MedinChina recommends that the client consider suitable cargo insurance.
When insurance is purchased, compensation is governed by the relevant insurer’s policy.
18.Claims
Any issue concerning an order must be reported to MedinChina as soon as possible after discovery, together with evidence that allows the issue to be assessed.
Depending on the circumstances, the requested evidence may include:
- photos;
- videos;
- product references;
- the quantity affected;
- packaging;
- the batch number;
- transport documents.
MedinChina may then assist the client in discussions with the supplier or relevant partners.
A claim may follow this process: Claim received → Evidence review → Contract review → Supplier claim → Negotiation → Resolution.
When a supplier refund owed to the client is effectively recovered by MedinChina on the client’s behalf, the corresponding client funds are returned to the client in accordance with the applicable Refund, Cancellation & Claims Policy.
Any compensation depends on the responsibility established, the agreements made with the supplier and the specific project terms.
19.Order cancellation
An order whose production has started may not be cancellable or refundable.
If the client requests cancellation, recoverable amounts depend on factors including:
- the stage of production;
- materials already purchased;
- customised products;
- the supplier’s terms;
- costs already incurred;
- services already performed.
MedinChina will inform the client of the options available in the circumstances.
20.Confidentiality
MedinChina treats sensitive commercial information shared in connection with a project as confidential.
This may include:
- specifications;
- drawings;
- prices;
- technical documents;
- business strategies;
- the client’s non-public information.
The client also undertakes to respect confidential information belonging to MedinChina and its partners.
A specific non-disclosure agreement may be signed for projects requiring additional protection.
21.Intellectual Property
The client must hold the necessary rights to any trademarks, logos, drawings, patents, designs and other materials it asks MedinChina or a manufacturer to use.
MedinChina may refuse any request presenting a risk of counterfeiting or infringement of third-party rights.
For custom development, ownership of moulds, technical files, designs and other project-specific assets must be specified in the project contract or proposal.
22.Communication
Significant decisions concerning an order must be confirmed in writing.
These include:
- a change of product;
- a change in quantity;
- a technical modification;
- sample approval;
- a change of supplier;
- payment;
- authorisation to start production;
- authorisation to ship.
WhatsApp, email or the MedinChina platform may be used according to the communication channel defined for the project.
Approvals made through the MedinChina client account, including supplier, quotation, sample, production, inspection or shipment approvals, may be recorded as part of the project history.
23.MedinChina’s liability
MedinChina undertakes to provide its services professionally and with reasonable care within the agreed scope.
However, MedinChina must not automatically be regarded as the manufacturer, carrier, insurer, customs authority or certification body when acting solely as an intermediary or coordinator.
MedinChina’s specific responsibilities are determined by the service actually purchased and the written commitments made for the project.
24.Force majeure
Neither party may be held liable for a delay or inability to perform resulting from an event reasonably beyond its control.
Such events may include:
- a natural disaster;
- war;
- an epidemic;
- a strike;
- an administrative closure;
- trade restrictions;
- a major transport disruption;
- a government decision;
- a comparable force majeure event.
In such circumstances, the parties will seek a reasonable solution to continue or adapt the project.
25.Suspension or refusal of service
MedinChina may suspend or refuse an assignment, including in cases of:
- non-payment;
- an unlawful request;
- suspected fraud;
- deliberately false information;
- abusive behaviour towards staff or partners;
- a material breach of the agreed terms;
- excessive legal or commercial risk.
Where reasonably possible, the client will be informed of the reason for suspension.
26.Long-term relationships
MedinChina prioritises lasting business relationships.
Our objective goes beyond finding a product.
Our role is to help clients gradually build a more structured supply chain and stronger business relationships in China.
We therefore expect each party to demonstrate:
- Transparency
- Respect for commitments
- Clear communication
- Professionalism
- Good faith in business
27.Acceptance
Acceptance of a commercial proposal, signature of a service agreement or the start of an assignment may be accompanied by acceptance of these rules.
The client is encouraged to read the applicable terms before making any financial commitment.
28.Governing law and dispute resolution
The governing law, competent jurisdiction, prevailing contractual language and, where applicable, arbitration mechanism must be specified in the General Terms of Service or the contract signed with the client.
In the event of a disagreement, MedinChina and the client will first seek an amicable commercial resolution before initiating formal proceedings, except in an emergency or where necessary to protect a party’s rights.
